Terms of Service

1. Acceptance of Terms
By accessing or using TradeGrader ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. TradeGrader LLC ("Company," "we," "us," or "our") reserves the right to modify these Terms at any time. Your continued use of the Service following any changes constitutes acceptance of those changes.
2. Description of Service
TradeGrader is an algorithmic trade grading and behavioral analysis platform. The Service allows users to import trade data, receive automated performance grades, identify behavioral patterns, and access AI-powered trading performance insights. The Service is provided for educational and analytical purposes only.
3. Not Financial Advice
Nothing on the TradeGrader platform constitutes financial, investment, or trading advice. The grades, scores, patterns, archetypes, playbooks, and AI-generated insights provided by the Service are for informational and educational purposes only. TradeGrader is not a registered investment advisor, broker-dealer, or financial institution. You are solely responsible for your own trading decisions. Past performance analysis does not guarantee future results.
4. User Accounts
You must create an account to access the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. You must be at least 18 years of age to create an account.
5. Subscription and Billing
The Service is offered on a subscription basis. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly set forth in our refund policy. We reserve the right to change subscription fees at any time with 30 days advance notice. Failure to pay subscription fees will result in suspension of your account.
6. User Data
You retain ownership of all trade data you upload to the Service. By uploading data, you grant TradeGrader a limited license to process and analyze your data solely for the purpose of providing the Service to you. We will not sell your individual trade data to third parties. See our Privacy Policy for full details on how we handle your data.
7. Intellectual Property
The Service, including all software, algorithms, grading rubrics, pattern detection systems, archetype classifications, and associated content, is and remains the exclusive property of TradeGrader LLC. The 127-point grading algorithm, behavioral pattern detection engine, blowup risk scoring system, and playbook generation methodology are subject to patent pending protection. You may not reverse engineer, copy, or reproduce any component of the Service.
8. Prohibited Uses
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to any portion of the Service; (c) reverse engineer or attempt to extract the source code of the Service; (d) use automated means to access the Service without our express permission; (e) upload false, misleading, or fabricated trade data; (f) resell or sublicense access to the Service without written authorization.
9. Limitation of Liability
To the maximum extent permitted by applicable law, TradeGrader LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of trading capital, arising out of or related to your use of the Service. Our total liability to you for any claims arising out of these Terms or the Service shall not exceed the total amount paid by you to us in the twelve months preceding the claim.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any grades, scores, patterns, or insights generated by the Service.
11. Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment of fees, or any other reason at our discretion. Upon termination, your right to access the Service will immediately cease. You may terminate your account at any time by contacting support@tradegrader.ai.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
